1.1 Alice Caroline Limited (hereafter Alice Caroline) is a company registered in England and Wales. Company number 05039780, VAT number GB 184 8201 01, registered office at 2 Crossways Business Centre, Bicester Road, Kingswood, Aylesbury, Buckinghamshire, HP18 0RA.
1.2 By your use of the Alice Caroline website and/or by placing an order with Alice Caroline you will be deemed to have read, understood and agreed to these terms and conditions.
2.1 In order to place a trade order with us, you will need to be previously authorised to do so. Once we have confirmed your eligibility as a retailer of our products you can place an order online. Any preliminary enquiries before ordering can be emailed to email@example.com. We may ask you to prove the existence of your business and the sales methods that you use in order for us to establish that you are a retailer, designer or maker. This may include, amongst other things, your providing to us the address of your retail outlet and/or a digital photograph of your storefront and product displays and/or details of the URL of your website.
2.2 When you place an order you are making an offer to Alice Caroline to purchase the goods detailed in the order subject to these terms. It is your responsibility to ensure that the details on the order (print name and colour code letter, delivery address details and billing details) are correct for you. When you have placed an order online we will send you an automatic email confirmation to confirm that your order has been received. This email is not a confirmation that your offer to purchase the goods has been accepted and it is not a confirmation that we will be able to meet your order.
2.3 Once an order has been shipped, you will receive an email from us notifying you of the dispatch of your order. All orders are shipped using a fully traceable carrier.
2.4 Every effort will be made to send out complete orders. If we are not able to deliver the whole of the order at one time due to operational reasons or shortage of stock, we will offer to deliver the order in installments but this may incur extra delivery costs.
2.5 It is not possible to add or subtract products, or amend your order in any other way, after you have placed your order with us. If you wish to order extra fabric or products, you will need to place a new order.
3.1 For Ready Made and Sewing Kits Orders;
3.1.1 The minimum order value when ordering Ready Made products or Sewing Kits is £150 (one hundred and fifty pounds) excluding VAT. The minimum order per readymade product is (3) three. The minimum order per sewing kit design is (10) ten.
3.2 For Fabric Orders;
3.2.1 The overall minimum quantity is ten (10) metres per order. The minimum order for each induvial print is five (5) metres, except for:
3.2.2 The minimum quantity is ten (10) metres of any Alice Caroline Exclusive or a fabric that is not currently listed on our website.
3.2.3 For shipping, fabric may be sent on either a long roll or on crease and block. For nine (9) metres or less, fabric maybe folded.
4.1 Payment can be made by credit or debit card or PayPal at the time of the order.
4.2 Customers using BACS transfer as the payment method must let us know prior to payment and include our order number or invoice number within the payment reference section of the bank payment. Failure to do so may delay order shipping.
4.2.1 All bank charges relating to BACS payments must be paid by the customer.

4.3 All new accounts are opened on a proforma basis. Full payment must have cleared into the Alice Caroline bank account before any goods will be dispatched.
4.4 At the point when your goods are ready to dispatch, a full final invoice can be located in your account under ‘My Orders’, including the VAT breakdown. VAT is dealt with depending on the customer’s location:
4.4.1 UK customers must pay the VAT-inclusive price.
4.4.2 UK customers should supply their VAT number.
4.4.3 Rest of World customers are exempt from paying VAT and our website will automatically produce zero-rated VAT invoices for customers with business and shipping addresses located in these countries.
4.4.4 VAT is charged on orders dispatched to UK addresses. If your billing address is overseas and we are shipping to a UK address, we reserve the right to retrospectively charge VAT, if you have not provided us within three months of the invoice date proof that the goods have been shipped overseas.
4.5 Goods must be paid for in full before they are dispatched from us.
Alice Caroline reserves the right to request payment of 65% of the order value (including VAT) before confirming the order. Such a request may be made if one or more of the following conditions apply:
5.1 We consider that the order is of an exceptionally high value.
5.2 The fabric print and colour way are not a product that Alice Caroline would normally retail.
5.3 Other circumstances at our discretion.
5.4 Deposits are non-refundable unless the fabric print or colourway you want to order is unavailable.
6.1 Ordering is only permitted via our website.
6.2 The availability for sale of wholesale fabric products is limited by the following conditions:
6.2.1 Liberty’s current collections ranges may be ordered by UK business customers only. These products can only be sold to business customers with shipping and billing addresses within the UK or Ireland.
6.2.2 Alice Caroline Exclusive colourways of Liberty prints may be ordered by business customers in the UK or the Rest of the World.
6.3 Availability of specific fabrics or products is not confirmed until the order has been processed and a final invoice issued – this usually happens when the products are ready for dispatch.
7.1 Alice Caroline Ready Made products and Sewing Kits are hand finished, therefore there may be some variations in colour, texture or finish. These are not considered flaws.
7.2 We take extra care to ensure that the specifications and descriptions of Alice Caroline products are accurate but they are not intended to be binding and are intended only to give a general description of the products.
7.3 The colour accuracy of the colourway options displayed on our website and on our printed material will vary dependent on a number of factors and as such should be seen only as representative. We endeavour to ensure that colours are reproduced as accurately as possible though we cannot control differences that may occur through printing in the catalogue and technical issues online such as different browsers and monitors.
8.1 While we try to maintain our printed prices, they are subject to change from time to time and we will endeavour to inform you of any changes. The price payable by you will be that shown on our final invoice.
8.2 All prices on our website are shown exclusive of VAT unless specifically detailed otherwise.
9.1 The carriers we use require recipients to be present at the delivery address to sign for the consignment.
9.2 UK – Carriage will be charged at £12.50 for UK orders.
9.3 Rest of World – Carriage charge will be quoted on an individual basis.
9.4 You will receive an email once your order has been booked in for dispatch.
9.5 Delivery outside of the UK maybe subject to local import taxes which are your responsibility where they apply. We cannot advise you of these charges, please consult your local customs office.
10.1 If you have ordered our standard Ready Made products or Sewing Kits, you may cancel your order with Alice Caroline any time up to the date the order is dispatched.
10.2 If your order includes Ready Made products which have been made to order for you, you may not cancel your order.
10.3 As wholesale fabrics are ordered specifically for customers, you may not cancel your order once you have paid either a deposit (if required) or the full invoiced amount.
10.4 If you have not paid your full invoice within two weeks of the final VAT invoice date, we reserve the right to cancel your order and return the goods to our supplier. In such circumstances, any deposit paid by you will be non-refundable.
10.5 To cancel an order or part of it, please email us at firstname.lastname@example.org. You may wish to keep a copy of your cancellation notification for your own records.
10.6 If we agree to cancel your order or part of it, you will receive a full refund of the price you paid for that part of your order. We will process the refund due to you as soon as is reasonably practicable and, in any case, within 30 calendar days of the day on which you gave us notice of cancellation.
11.1 Risk and responsibility for the Products shall pass to you from the point at which we or the courier first attempt delivery, whether or not you (or any nominated alternative) take delivery or not.
11.2 Title to the Products shall not pass to you until we have received payment in full for:
11.2.1 All the Products in respect of the delivery; and
11.2.2 Any applicable delivery or other charges.
11.3 Until title to the Products has passed to you, you shall:
11.3.1 Maintain the Products in satisfactory condition and keep them insured against all risks for their full price from the date of delivery (or attempted delivery); and
11.3.2 Give us such information relating to the Products as we may require from time to time, but you may resell or use the Products in the ordinary course of business.
12.1 You must inspect the goods upon completion of delivery. Items which are damaged, faulty, missing or otherwise materially different from the specification must be reported in writing to Alice Caroline with photographic evidence within five (5) working days of receipt of delivery, and before the goods are used, cut, or otherwise altered. Please email email@example.com with full details of any claim. Claims reported more than 5 days after receipt of delivery will not be accepted.
12.2 Depending on the nature of your return or claim, we will review your claim within five (5) business days, and we will agree in writing if we authorise the damaged/faulty goods to be returned, replaced or refunded. If a return is agreed, you must return the goods in their original condition, within ten (10) working days of receiving your authorization, to the following address:

12.3 Returns cannot be made for any other reason other than those listed in 13.1. Returns without prior agreement in writing may be refused and if accepted will be subject to a 30% restocking fee.
12.4 Returned goods remain the responsibility of the customer until received by Alice Caroline.
12.5 If you have returned the Products to us under this clause 10 because they are faulty or damaged, we will either offer you a replacement Product or refund the full price of the defective Product (if paid by you) and any applicable delivery charges relating to the specific Product.
12.6 We will make any refund to you in the manner in which payment was made by you to us.
13.1 We do not offer exclusivity on any of our standard products.
13.2 We do not offer exclusivity to any business selling our products in any specific area / location.
14.1 All content and products included on our website and printed material including but not limited to website design, text, graphics, audio clips, visual clips, logos, button icons and the selection and arrangement thereof are the property of Alice Caroline or its content suppliers and are protected by UK and international copyright laws.
14.2 All Alice Caroline products are the property of Alice Caroline and are protected by UK and international copyright laws.
14.3 All software used on our website is either the property of Alice Caroline or its software suppliers and is protected by UK and international copyright laws.
14.4 We can supply you with our product and brand images for marketing purposes only but please note the following: We are unable to supply images that include the Liberty logo – you need direct permission from Liberty to be able to display their logo or use the brand name Liberty at the start of any product listings. All images remain the copyright of Alice Caroline Ltd.
14.5 When listing one of our products or Liberty fabrics and to keep in line with Liberty’s terms, please use the following for product listings:
14.5.1 For our kits:

14.5.2 For our Readymade products:

14.5.3 For Tana Lawn® cotton fabrics:

14.5.4 For our Exclusive collection:

14.6 ALL RIGHTS ARE RESERVED. Permission is granted to electronically copy and to print in hard copy portions of our website for the purposes of placing an order with Alice Caroline and using it as a shopping resource only. Any other use of materials on our website including reproduction for purposes other than those noted above, modification, distribution, transmission, broadcasting republication, downloading or uploading without the prior written permission of Alice Caroline is strictly prohibited.
15.1 We will use the personal information you provide to us to:
15.1.1 Provide the Products.
15.1.2 Process your payment for such Products.
15.2 Your privacy is of the highest importance to us, and we promise never to release your personal details to any outside company for mailing or marketing purposes.
15.3 In order to serve you most efficiently, reputable third-party banking services (including PayPal) handle our credit card transactions. They receive the information needed to verify and authorise your payment card and to process your order. All such organisations are under strict obligation to keep your personal information private.
16.1 Alice Caroline has taken all reasonable care in the preparation of the contents of our website and printed material but makes no representation or warranty of any kind with respect to the operation of the website or the information, content, materials, or products included on it.
16.2 To the extent permitted by applicable law, Alice Caroline makes no warranty, express or implied, as to the accuracy, completeness or currency of the information contained in any of the materials on our website or printed material.
16.3 Alice Caroline reserves the right to change price and availability information without notice.
16.4 Alice Caroline shall not be liable to any person for any loss or damage that may arise from the use of any of the information contained in any of the materials on our website or printed material.
16.5 Alice Caroline shall not be liable for economic or financial loss or any special, indirect or consequential loss or damage whatsoever and howsoever arising.
16.6 Alice Caroline makes no representation or warranty, express or implied (including, without limitation, warranties as to quality or fitness for purpose) in connection with any product(s) supplied by it under these Terms. In any event, Alice Caroline’s sole liability and the user’s sole remedy for any defective product(s) supplied under these Terms shall be the replacement by Alice Caroline of the defective product(s).
16.7 While Alice Caroline takes all reasonable endeavors to ensure a fast and reliable service, it does not guarantee that your use of our website will be error or interruption free and will not be responsible for any loss of, disruption or corruption of any material in transit or data when downloaded onto a computer system.
16.8 The entire liability of Alice Caroline under or in connection with any contract for any products to which these conditions apply shall not exceed the price of the products, except as expressly provided in these terms and conditions.
17.1 Our business and website is controlled and operated by Alice Caroline from its offices in England. We make no representation that materials on our website are appropriate or available for use in other locations and accessing them from territories where their contents are illegal is prohibited. Customers who access our website from locations outside the United Kingdom do so at their own risk and on their own initiative and are responsible for compliance with local laws, to the extent that any local laws are applicable.
17.2 All terms and conditions shall be governed by and construed in accordance with English law. By using our website and/or placing an order with Alice Caroline, you hereby submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute arising under or in connection with these Terms or your use of our website.
18.1 These conditions shall take precedence over any conditions which may appear in the Customer’s Purchase order, and we shall not be bound by the Customer’s terms and conditions unless expressly agreed by us in writing. These conditions supersede all conditions previously stated.
