Terms and Conditions for finished products and lifestyle Wholesale orders

1. Agreement
1.1Alice Caroline Limited (hereafter Alice Caroline) is a company registered in England and Wales. Company number 05039780, VAT number GB 184 8201 01, registered office at 2 Crossways Business Centre, Bicester Road, Kingswood, Aylesbury, Buckinghamshire, HP18 0RA.
1.2 By your use of the Alice Caroline website and/or by placing an order with Alice Caroline you will be deemed to have read, understood and agreed to these terms and conditions.

2. Placing an order with Alice Caroline
2.1In order to place a trade order with us, you will need to be previously authorised to do so. Once we have confirmed your eligibility as a retailer of our products you can place an order online, by phone on +44 (0)1386 365025, on +44 (0)1386 375000 or by emailing sales@alicecarolinetrade.com. We may ask you to prove the existence of your business and the sales methods that you use in order for us to establish that you are a retailer. This may include, amongst other things, your providing to us the address of your retail outlet and/or a digital photograph of your storefront, and/or details of the URL of your website.

2.2 When you place an order you are making an offer to Alice Caroline to purchase the goods detailed in the order subject to these terms. When you have placed an order online we will send you an automatic email confirmation to confirm that your order has been received. This email is not a confirmation that your offer to purchase the goods has been accepted and it is not a confirmation that we will be able to meet your order.

2.3 Once an order has been shipped, you will receive an email from us notifying you of the dispatch of the product(s). All products are shipped using a fully traceable carrier.

2.4 Every effort will be made to send out complete orders. If we are not able to deliver the whole of the order at one time due to operational reasons or shortage of stock, we will deliver the order in installments. We will not charge you extra delivery costs for this. However, if you ask us to deliver the order in installments, we may charge you extra delivery costs.

3. Minimum orders

3.1 The minimum order value is £100 (one hundred pounds) excluding VAT.

4. Carriage

4.1 UK
Carriage will be charged at £10.00 for UK orders.

4.2 EU and Rest of World

4.2.1 For orders to the EU and Rest of World, the carriage will be charged at £20.00 for orders between £100 – £800 excluding VAT.

4.2.2 For orders above £800 excluding VAT the carriage charge will be quoted on an individual order basis.

5. Payment

5.1 Payment can be made by credit or debit card, Paypal or by BACS. All bank charges relating to BACS payments must be paid by the customer.

6. Proforma Accounts

6.1 All new accounts are opened on a proforma basis. Full payment must be made and cleared into the Alice Caroline bank account before any goods will be dispatched.

7. Credit Accounts

7.1 A credit account may be considered after receipt of a fully completed account application form, trade references and satisfactory trading history with Alice Caroline. All accounts are strictly due for payment in full within 30 days from the date of invoice.

7.2 The Company reserves the right to withdraw credit facilities from customers who do not settle their accounts in accordance with these terms and conditions of trade or for any other reason. The Company reserves the right to recoup any costs incurred should litigation be necessary in order to recover monies legitimately owed to the Company.

7.3 If you fail to make payment due to us on the due date for payment (the Due Date), then you will be liable to pay interest on the overdue amount at the rate of 4% per annum above the base rate of the Bank of England (at the time of the Due Date). Such interest will accrue on a daily basis from the Due Date until the date of actual payment of the overdue amount, whether before or after judgment. You shall be required to pay the interest together with the overdue amount.

8. Risk and Title

8.1 Risk and responsibility for the Products shall

pass to you from the point at which we or the courier first attempt delivery, whether or not you (or any nominated alternative) take delivery or not.
8.2 Title to the Products shall not pass to you until we have received payment in full for:

8.2.1 all the Products in respect of the delivery; and

8.2.2 any applicable delivery or other charges.

8.3 Until title to the Products has passed to you, you shall:

8.3.1 maintain the Products in satisfactory condition and keep them insured against all risks for their full price from the date of delivery (or attempted delivery); and

8.3.2 give us such information relating to the Products as we may require from time to time, but you may resell or use the Products in the ordinary course of business.

9. Order Cancellation

 

9.1 If you have ordered our standard Products, you may cancel your order with Alice Caroline any time up to the date the Products are dispatched.
9.2 If your order includes Products which have been made to order for you, you may not cancel your order.

9.3 To cancel an order or part of it, please email us at sales@alicecarolinetrade.com. You may wish to keep a copy of your cancellation notification for your own records.

9.4 If we agree to cancel your order or part of it, you will receive a full refund of the price you paid for the Products. We will process the refund due to you as soon as is reasonably practicable and, in any case, within 30 calendar days of the day on which you gave us notice of cancellation.

10. Returns and Claims

10.1 Items damaged, faulty or missing from your delivery must be reported in writing to Alice Caroline within 5 working days of receipt of delivery. Please email sales@alicecarolinetrade.com with full details of any claim. Claims reported more than 5 days after receipt of delivery will not be accepted.
10.2 You will be issued with a Returns Authorisation Number (RAN) for damaged/faulty goods that are authorised to be returned. You must return the goods in their original condition within 10 working days of receiving your RAN to the following address:

10.3 Returns cannot be made for any other reason. Returns without a RAN may be refused and if accepted will be subject to a 30% restocking fee.

10.4 Returned goods remain the responsibility of the customer until received by Alice Caroline.

10.5 If you have returned the Products to us under this clause 10 because they are faulty or damaged, we will either offer you a replacement Product or refund the full price of the defective Product (if paid by you) and any applicable delivery charges relating to the specific Product.

10.6 We will make any refund to you in the manner in which payment was made by you to us.

11. Exclusivity

11.1 We do not offer exclusivity on any of our standard products.

11.2 We do not offer exclusivity to any business selling our products in any specific area / location.

12. Price

12.1 While we try to maintain our printed prices, they are subject to change from time to time and we will endeavour to inform you of any changes. The price payable by you will be that shown on our Order Confirmation email. All prices are shown exclusive of VAT.

12.2 Delivery outside the EU may be subject to local import taxes which are your responsibility where they apply. We cannot advise you of these charges, please consult your local customs office.

13. Description

13.1 Alice Caroline products are hand finished, therefore there may be some variations in colour, texture or finish. These are not considered flaws.

13.2 We take extra care to ensure that the specifications and descriptions of Alice Caroline products are accurate but they are not intended to be binding and are intended only to give a general description of the products.

13.3 The colour accuracy of the colour-way options displayed on our website and on our printed material will vary dependant on a number of factors and as such should be seen only as representative. We endeavour to ensure that colours are reproduced as accurately as possible though we cannot control differences that may occur through printing in the catalogue and technical issues online such as different browsers and monitors.

14. Copyright

14.1 All content and products included on our website and printed material including but not limited to website design, text, graphics, audio clips, visual clips, logos, button icons and the selection and arrangement thereof are the property of Alice Caroline or its content suppliers and are protected by UK and international copyright laws.

14.2 All Alice Caroline products are the property of Alice Caroline and are protected by UK and international copyright laws.

14.3 All software used on our website is either the property of Alice Caroline or its software suppliers and is protected by UK and international copyright laws.

14.4 ALL RIGHTS ARE RESERVED. Permission is granted to electronically copy and to print in hard copy portions of our website for the purposes of placing an order with Alice Caroline and using it as a shopping resource only. Any other use of materials on our website including reproduction for purposes other than those noted above, modification, distribution, transmission, broadcasting republication, downloading or uploading without the prior written permission of Alice Caroline is strictly prohibited.

15. How we may use your personal information

15.1 We will use the personal information you provide to us to:

15.1.1 provide the Products;

15.1.2 process your payment for such Products; and

15.1.3 inform you about similar products or services that we provide, but you may stop receiving these at any time by contacting us.

15.2 We will not give your personal data to any other third party.

16. Disclaimer

16.1 Alice Caroline has taken all reasonable care in the preparation of the contents of our website and printed material, but makes no representation or warranty of any kind with respect to the operation of the website or the information, content, materials, or products included on it.|

16.2 To the extent permitted by applicable law, Alice Caroline makes no warranty, express or implied, as to the accuracy, completeness or currency of the information contained in any of the materials on our website or printed material.|
16.3 Alice Caroline reserves the right to change price and availability information without notice.

16.4 Alice Caroline shall not be liable to any person for any loss or damage that may arise from the use of any of the information contained in any of the materials on our website or printed material.

16.5 Alice Caroline shall not be liable for economic or financial loss or any special, indirect or consequential loss or damage whatsoever and howsoever arising.

16.6 Alice Caroline makes no representation or warranty, express or implied (including, without limitation, warranties as to quality or fitness for purpose) in connection with any product(s) supplied by it under these Terms. In any event, Alice Caroline’s sole liability and the user’s sole remedy for any defective product(s) supplied under these Terms shall be the replacement by Alice Caroline of the defective product(s).

16.7 While Alice Caroline takes all reasonable endeavors to ensure a fast and reliable service, it does not guarantee that your use of our website will be error or interruption free and will not be responsible for any loss of, disruption or corruption of any material in transit or data when downloaded onto a computer system.

16.8 The entire liability of Alice Caroline under or in connection with any contract for any products to which these conditions apply shall not exceed the price of the products, except as expressly provided in these terms and conditions.

17. Governing Law and Jurisdiction

17.1 Our business and website is controlled and operated by Alice Caroline from its offices in England. We make no representation that materials on our website are appropriate or available for use in other locations, and accessing them from territories where their contents are illegal is prohibited. Customers who access our website from locations outside the United Kingdom do so at their own risk and on their own initiative and are responsible for compliance with local laws, to the extent that any local laws are applicable.

17.2 All terms and conditions shall be governed by and construed in accordance with English law. By using our website and/or placing an order with Alice Caroline, you hereby submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute arising under or in connection with these Terms or your use of our website.

18. General

18.1 These conditions shall take precedence over any conditions which may appear in the Customer’s Purchase order, and we shall not be bound by the Customer’s terms and conditions unless expressly agreed by us in writing. These conditions supersede all conditions previously stated.

 

 

 

Wholesale Fabric Terms and Conditions

1. Agreement

1.2 By your use of the Alice Caroline website and/or by placing an order with Alice Caroline you will be deemed to have read, understood and agreed to these terms and conditions.

2. Placing an order with Alice Caroline

2.1 In order to place a wholesale fabric order with us, you will need to be previously authorised to do so.Once we have confirmed your eligibility as a purchaser of our products you can place an order online. Any preliminary enquiries before ordering can be emailed to sales@alicecarolinetrade.com. We may ask you to prove the existence of your business and the sales methods that you use in order for us to establish that you are a retailer, designer or maker. This may include, amongst other things, your providing to us the address of your retail outlet and/or a digital photograph of your store front, and/or details of the URL of your website.

2.2 When you place an order you are making an offer to Alice Caroline to purchase the goods detailed in the order subject to these terms. It is your responsibility to ensure that the details on the order (fabric print name and colour code letter, delivery address details, billing details and VAT registration number if applicable) are correct for you. When you have placed an order online we will send you an automatic email confirmation to confirm that your order has been received. This email is not a confirmation that your offer to purchase the goods has been accepted and it is not a confirmation that we will be able to meet your order.

2.3 Every effort will be made to send out complete orders.If we are not able to deliver the whole of the order at one time due to operational reasons or shortage of stock, we will not deliver the order in instalments. However, if you ask us to deliver the order in instalments, we may charge you extra delivery costs.

2.4 It is not possible to add or subtract products, or amend your order in any other way, after you have placed your order with us. If you wish to order extra fabric or other fabrics, you will need to place a new order.

3. Product availability

3.1 Wholesale fabric ordering is only permitted via our website.

3.2 The availability of wholesale fabrics for sale is limited to the following:

3.2.1 Liberty’s current Classics, Classics 40th collection, Classics Refresh and Plain tana ranges may be ordered by UK business customers only. These products can only be sold to business customers with shipping and billing addresses within the UK or Ireland.

3.2.2 Alice Caroline Exclusive colourways of Liberty prints may be ordered by business customers in the UK, EU or the Rest of the World.

3.3 The availability of specific products is not confirmed until the order has been processed and a final invoice issued to the customer, which is normally at the date the products are ready for dispatch.

4. Minimum order quantity

4.1 The minimum order quantity (MOQ) is ten (10) metres overall, with a minimum of five (5) metres of fabric per print, apart from for Alice Caroline Exclusives, which has a minimum of ten metres overall and ten metres per print.

4.2 Fabric is rolled on a long roll (approx. 140cm long) for quantities of 10 metres or more. Fabric is packed folded for quantities of 5-9 metres. Crease and Block packing is only available in quantities of 25 metres.

4.3 The Minimum order value for our Trade (Ready Made) range of products (washbags, purses, etc.) is separate from the MOQ for Wholesale Fabrics. If you wish to order wholesale fabric and ready-made goods, then you will need to place separate orders and both MOQs will apply – i.e. minimum 10 metres of fabric plus at least £100 (pre-VAT) of ready-made goods.

5. Lead time

5.1 The time between an order being placed with us and it being dispatched to you is typically 2-4 weeks. We have a timed schedule of orders being placed with our supplier. Details of this schedule are shown on our website. Customers wishing to minimize the lead time between placing their orders and receiving their products should place orders shortly before our scheduled supplier order date. Orders that we receive after a scheduled supplier order date will have to wait until the next scheduled supplier order, and therefore the lead time on these orders is likely to be approximately 4 weeks.

5.2 Dispatch time will usually be 2-3 working days. Dispatch time is defined as the time between when we have received both your full cleared payment and the goods, and when the goods leave our premises with a courier.

6. Carriage and delivery

6.1 The carriers we use require recipients to be present at the delivery address to sign for the consignment.

6.2 Carriage charges will be based upon the size of the order. UK carriage will be calculated by our website at the time of ordering. Overseas carriage will be calculated when your goods are ready to ship.

6.3 Delivery outside the EU may be subject to local import taxes which are your responsibility, if they apply. We cannot advise you of these charges, please consult your local customs office.

6.4Once an order has been shipped, you will receive an email from us notifying you of the dispatch of the product(s).

6.5 You must inspect the goods on completion of delivery. If the goods arrive in a damaged condition, you must sign for the goods on that basis and notify us within five (5) working days, as per section 13.

7. Deposits

7.1 As products are usually ordered specifically for customers, Alice Caroline reserves the right to request payment of 65% of the order value before confirming the order. Such a request may be made if one or more of the following conditions apply:

7.1.1 We consider that the order is of an exceptionally high value;

7.1.2 The fabric print and colourway are not a product that Alice Caroline would normally retail;

7.1.3 Other circumstances at our discretion.

7.2 Deposits are non-refundable unless the fabric print or colourway you want to order is unavailable.

8. Cancellation

8.1 As wholesale fabrics are ordered specifically for customers, you may not cancel your order once you have paid either a deposit (if required) or the full invoiced amount.

8.2 If you have not paid your full invoice within two weeks of the final VAT invoice date, we reserve the right to cancel your order. In such circumstances, any deposit paid by you will be non-refundable.

9. Payment for goods

9.1 All new accounts are opened on a proforma basis. Full payment must have cleared into the Alice Carolinebank account before any goods will be dispatched.

9.2 In circumstances where up-front payment or a deposit is required (see section 7), a proforma invoice will be issued at the time of placing the order with us. This is a request for payment and not the final invoice. It is not a confirmation that your offer to purchase the goods has been accepted and it is not a confirmation that we will be able to meet your order.

9.3 At the point when your goods are ready to dispatch, a full final invoice, including the VAT breakdown, will be issued by email. VAT is dealt with depending on the customer’s location (which must be the same country for both billing and shipping):

9.3.1 UK customers must pay the VAT-inclusive price.

9.3.2 EU business customers with a valid VAT registration number should ensure this number is included on the order form at the time of placing the order. Invoices will then be issued without VAT. We cannot issue VAT refunds after the final invoice is generated.

9.3.3 EU customers who have not provided a valid VAT registration number will receive invoices subject to VAT at the relevant rate.

9.3.4 Rest of World customers are exempt from paying VAT and our website will automatically produce zero-rated VAT invoices for customers with business and shipping addresses located in these countries.

9.4 Goods must be paid for in full before they are dispatched from us (see Payment Method, section 10).

10. Payment methods

10.1 Payment can be made by credit card, debit card or Paypal at the time of the order, or by BACS transfer at a later date – see Payment for goods section above.

10.2 Customers using BACS transfer as the payment method must include our order number or invoice number within the payment reference section of the bank payment. Failure to do so may delay order shipping.

10.3 All bank charges relating to BACS payments must be paid by the customer.

11. Price changes

11.1 While we try to maintain our printed prices, they are subject to change from time to time and we will endeavour to inform you of any changes. The price payable by you will be that shown on our final invoice.

11.2 All prices on our website are shown exclusive of VAT unless specifically detailed otherwise.

12. Risk and Title

13.1 You must inspect the goods upon completion of delivery. Items which are damaged, faulty, missing or otherwise materially different from the specification must be reported in writing to Alice Caroline with photographic evidence within five (5) working days of receipt of delivery, and before the goods are used, cut, or otherwise altered. Please email sales@alicecarolinetrade.comwith full details of any claim. Claims reported more than 5 days after receipt of delivery will not be accepted.

13.2 Depending on the nature of your return or claim, we will review your claim within five (5) business days, and we will agree in writing if we authorize the damaged/faulty goods to be returned, replaced or refunded. If a return is agreed, you must return the goods in their original condition, within ten (10) working days of receiving your authorization, to the following address:

17.2 Your privacy is of the highest importance to us, and we promise never to release your personal details to any outside company for mailing or marketing purposes.

17.3 In order to serve you most efficiently, reputable third-party banking services (including PayPal) handle our credit card transactions. They receive the information needed to verify and authorise your payment card and to process your order. All such organisations are under strict obligation to keep your personal information private.

18. Disclaimer

18.1 Alice Caroline has taken all reasonable care in the preparation of the contents of our website and printed material but makes no representation or warranty of any kind with respect to the operation of the website or the information, content, materials, or products included on it.

18.3 Alice Caroline reserves the right to change price and availability information without notice.

19.2 All terms and conditions shall be governed by and construed in accordance with English law. By using our website and/or placing an order with Alice Caroline, you hereby submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute arising under or in connection with these Terms or your use of our website.

20. General

20.1 These conditions shall take precedence over any conditions which may appear in the Customer’s Purchase order, and we shall not be bound by the Customer’s terms and conditions unless expressly agreed by us in writing. These conditions supersede all conditions previously stated.
